• Prepared the draft and finalizes legal documents to ensure that the legal rights of the Company, the subsidiaries, and its Management are protected.
• Initiates, monitors, and ensures that the Company abides by the regulatory requirements of the Government, particularly in the timely submission of legal papers and documents.
• Monitors and conducts due diligence work to ensure that all parties involved in a contract, legal proceedings, negotiations, and agreements with the Company fulfill their obligations.
• Prepares and facilitates the processing of and submission/ filing of documentary requirements, permits, titles, certificates and other legal documents to government offices/agencies and financial institutions in connection with bidding requirements, business development projects, and investment transactions.
• Facilitates and ensures that the Company complies with the legal requirements for corporate governance, financial instruments, letters of credit, investment transactions, and other forms of negotiations and accommodations with financial, investment and banking institutions, here and abroad;
• Tracks and monitors the accessibility of legal and corporate documents, such as, legislations, permits & licenses, authorized signatures and approving authorities, and other corporate details;
• Undertakes periodic review, auditing, updating, revision of legal documents, service agreements, insurance policies and coverages, lease agreements, asset management deeds, meeting minutes, engagement letters, written resolutions, power of attorneys, waivers, financing and loan agreements, and other similar legal documents;
• Harmonious coordination, communication, and liaison with internal units/teams, as well as with external legal retainers and service providers
Requirements:
•?Located in Metro Manila (required)
•?At least 5 years working in finance and credit sector.
•?Bachelor’s degree in Business and Law.
•?Outstanding English in communication skills (oral and written).
•?Above-average problem-solving ability and analytical skills.
•?Confident and comfortable in starting and maintaining communications with
various stakeholders (inside and outside the Company) from different fields of
expertise and occupying different levels of the organizational hierarchy, especially in working with Philippines Department of Foreign Affairs.
•?Has a sound working knowledge of Corporation Law, Commercial Law, Taxation, Obligations and Contracts, Energy Industry Laws and Regulations, Real Property Laws, Banking & Finance, SEC Regulations, & Corporate Governance.
•?Has a good knowledge of Finance Sector.
•?Proficiency in Microsoft Office and other business apps.
