Corporate Lawyer

We are offering a position in our in-house legal division which consists of directly reporting to the executive team and working with our external legal counsel, a national US law firm, with:

compiling pre-meeting materials for public board and committees; assist with SEC filing preparations, due diligence for financing deals as well as other business development activities; and assist with legal perspectives of equity p equity incentive plan and stock administration. This position will include interaction with our Board of Directors and senior executive officers. Assist with preparations and filings of SEC filings (e.g., Forms 8-K, 10-Q, 10-K; Proxy Statement).
Support the preparation and filing of NYSE and SEC reports including Forms 10-K, 10-Q, 8-K, securities offering documents preparation, Proxy Statements.

Prepare and file all necessary documents for formation/dissolution of subsidiaries including Articles of Incorporation, Bylaws, Articles/Certificates of Dissolution and necessary board and shareholder minutes and consents. Assist with creation, maintenance and dissolution of entities worldwide and manages those activities; prepare written consents, resolutions, certifications, minutes and other corporate documentation as needed for domestic and foreign subsidiaries; update and maintain database of historical, stock, officer, director and other corporate information for all subsidiaries; draft jurisdictional certificates of authority and certificates of withdrawal; and mange corporate agents that the company engages within and outside the United States.

This role is suitable for a paralegal and/or a law student who is specializing in Corporate Law.
