Philippines Entity Setup Consultant (Foreign-Owned Corporation)

We are seeking an individual consultant or boutique advisor with proven experience establishing foreign-owned Philippine corporations, particularly for international companies operating export-focused service businesses.

Our current preferred structure is:

* 100% foreign-owned Philippine domestic corporation
* Australian parent company as sole shareholder
* BOI-registered export enterprise
* Distributed workforce model (not PEZA)
* Virtual office setup
* Payroll managed through Rippling Philippines
* Target go-live date: November 2026

We are looking for practical, commercially-minded advice rather than unnecessarily complex structures.

Scope of Work

Advise on and assist with:

* Entity structure recommendations
* SEC incorporation process
* Foreign ownership requirements
* BOI registration strategy and application
* Paid-up capital requirements and practical banking considerations
* Corporate bank account setup
* BIR registration
* Local compliance obligations
* Corporate secretary and resident agent requirements
* Coordination with payroll and employment setup through Rippling
* Compliance roadmap for the first 12 months of operation
