JOB OVERVIEW

The Corporate Law & Compliance Specialist is responsible for protecting Isak Fire Protection from contract risk, payment risk, employment law exposure, and regulatory non-compliance. This role owns client contract review, mechanics lien processes, employment law coordination, and multi-state licensing compliance, ensuring the company operates legally, gets paid, and scales safely across states.

This is an execution and oversight role, not a practicing attorney position.

Core Responsibilities
1. Client Contracts & Legal Risk Review (Primary)
Review client-issued contracts when clients provide their own agreement instead of signing Isak Fire Protection’s estimate
Compare contract terms against:
Approved estimate and scope of work
Company standard terms
Identify and flag risks related to:
Payment terms, retainage, and billing requirements
Pay-if-paid / pay-when-paid clauses
Indemnification and liability provisions
Warranty, termination, and dispute clauses
Prepare summaries, clarifications, and redlines for Operations and Ownership
Track contract approvals and ensure no project proceeds without review

2. Mechanics Lien & Payment Protection (Critical)
Own the end-to-end mechanics lien process
Track lien, notice, and bond claim deadlines by project and state
Prepare and manage:
Preliminary notices
Notices of intent to lien
Mechanics lien filings
Bond claims when applicable
Coordinate closely with Accounting on unpaid invoices and retainage
Escalate payment issues proactively to preserve rights
Maintain complete lien documentation and compliance records

3. Employment Law Coordination & Workforce Compliance
Support HR and leadership with employment law compliance, including:
Wage and hour classifications
Exempt vs non-exempt roles
Termination and disciplinary documentation
Review and maintain:
Employment agreements
Offer letter templates
Employee handbook updates (coordination, not authorship)
Track state-specific employment law requirements as the company expands
Coordinate with outside employment counsel when escalation is required

4. Licensing, Registration & State Compliance
Own and maintain company licensing and registrations across all operating states
Track and manage:
Contractor licenses
Business registrations
Renewal deadlines
State-specific compliance requirements
Coordinate required filings with:
State agencies
Municipal authorities
Outside compliance vendors or counsel
Maintain accurate licensing records accessible to Operations and Leadership

5. Contract & Compliance Administration
Maintain organized records of:
Executed contracts
Amendments and change orders
Compliance filings and licenses
Ensure contractual notice requirements are followed
Support project close-out with lien releases and compliance confirmations

6. Outside Counsel Coordination (Targeted Use)
Act as internal point of contact for:
Construction attorneys
Employment counsel
Prepare documentation for legal review
Implement attorney guidance into internal processes
Reduce reliance on outside counsel through strong internal controls

Required Experience & Skills
Experience with construction contracts and subcontractor agreements
Strong understanding of mechanics lien laws and payment protection
Familiarity with employment law compliance (construction preferred)
Experience managing licenses and regulatory requirements
Highly organized, deadline-driven, and detail-oriented
Comfortable working cross-functionally with Operations, Accounting, and HR
